Terms of Service

Open Seat is a free-to-play online Texas Hold'em video game. It is not a gambling service. In-game chips are free, have no monetary value, and cannot be bought, sold, cashed out, or exchanged for anything of value. The only paid products are optional cosmetic items that do not affect gameplay.
1.About these terms
These Terms of Service ("Terms") are a legal agreement between you and AVAMM Group Pty Ltd (ABN 39 647 157 131), a company registered in New South Wales, Australia, trading as Open Seat ("Open Seat", "we", "us", or "our"). They govern your access to and use of the Open Seat website, game client, and related services (together, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.
2.Eligibility
- You must be at least 18 years old to use the Service. We apply an age gate at sign-up and may request verification of age at any time.
- You must not use the Service where doing so is prohibited by the laws of your country, state, or territory.
- You must provide accurate registration information and keep it current.
- If we have previously suspended or terminated your account, you may not create a new one without our written permission.
3.The game and virtual chips
The Service lets you play Texas Hold'em against other players and computer-controlled opponents ("bots") at simulated card tables. Gameplay uses virtual chips.
- Virtual chips are provided to you free of charge and are made available at our discretion.
- Virtual chips are not money, have no cash or monetary value, and are not your property. They are a limited, personal, revocable licence to use a feature of the game for entertainment.
- Virtual chips cannot be purchased, sold, wagered for money, gifted, traded, transferred between accounts, redeemed, or withdrawn, and cannot be exchanged for cash, goods, or anything of value.
- If your chip balance falls below the daily minimum, it is topped back up to that minimum once per day at no cost.
- We may adjust, reset, or remove virtual chip balances, including to correct errors or address abuse.
4.No real-money gambling
The Service does not offer real-money gaming, betting, or gambling of any kind. There is no buy-in, no deposit, no real-money pot, no cash prize, and no payout of money or anything of monetary value. Leaderboards, ratings, ranks, badges, and seasonal standings award status and recognition only. Nothing you win or achieve in the Service can be converted into money or transferred to another person.
5.Accounts and security
- You are responsible for all activity under your account and for keeping your login credentials secure.
- One person may hold one account. Accounts are personal to you and may not be shared, sold, or transferred.
- Tell us promptly at hello@openseat.com.au if you believe your account has been compromised.
6.Acceptable use
When using the Service you must not:
- cheat, or attempt to gain an unfair advantage, including through collusion, "ghosting", chip dumping, or use of real-time assistance tools or solvers during rated play;
- use bots, scripts, scrapers, or any automation to play, create accounts, or access the Service;
- exploit bugs, or interfere with or attempt to circumvent the server-authoritative game logic, matchmaking, or anti-cheat systems;
- harass, threaten, defame, or abuse other players in voice or text chat, or transmit unlawful, hateful, or sexually explicit content;
- impersonate any person, or choose a display name or avatar that is offensive or infringes someone's rights;
- attempt to access another player's private game information, including hole cards or the deck;
- reverse engineer, decompile, or resell any part of the Service except to the extent this restriction is prohibited by law;
- use the Service for money laundering, fraud, or any unlawful purpose.
7.Cosmetic items and purchases
- The game is free to play. We offer optional cosmetic items — such as avatar clothing and accessories, card backs, table felts, and chip designs — and, where offered, a one-time fee to generate a custom avatar.
- Cosmetic items are purely decorative. They never change the cards, the odds, the rules, or the outcome of any hand.
- A purchase grants you a limited, personal, non-transferable, revocable licence to use that item within the Service. You do not own the item, and it has no monetary value and cannot be sold, traded, or cashed out.
- Purchases are one-time payments. There are no subscriptions. Prices are shown at checkout. Open Seat is not currently registered for GST, so prices do not include Australian GST; any other taxes that apply in your location are your responsibility unless stated otherwise.
- Payments are processed by Stripe. By purchasing, you also agree to Stripe's terms. We do not receive or store your full card number.
- Purchased items are delivered to your account immediately after successful payment. Refunds are governed by our Refund Policy.
- We may add, change, retire, or re-price cosmetic items, and may discontinue the store, at any time. If we permanently close the Service, we will stop selling items and, where practical, give notice in advance.
8.User content
"User content" means anything you submit through the Service, such as your display name, chat messages, and avatar choices. You keep any rights you have in your user content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display that content for the purpose of operating and moderating the Service.
In-game voice chat is transmitted directly between players (peer to peer) and is not recorded by us. Text chat passes through our servers and may be retained for a limited period for safety and moderation. Do not share sensitive personal information in chat.
9.Fair play, time limits, and bots
Each turn has a time limit. If you run out of time, the game checks for you where possible and otherwise folds your hand. Repeated timeouts or a disconnection may result in you being sat out, and after a period your seat may be given to a bot; you can rejoin from a button when you return. Bot stacks are created when a bot sits down and disappear when it leaves; they never touch player balances.
10.Suspension and termination
We may suspend or terminate your access to the Service, remove content, or adjust balances if we reasonably believe you have breached these Terms, if required by law, or to protect the Service or other players. You may stop using the Service and request account deletion at any time by emailing hello@openseat.com.au. Sections that by their nature should survive termination (including sections 3, 4, 7, 11, 12, and 14) will survive.
11.Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties that the Service will be uninterrupted, error-free, or secure. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded.
12.Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential loss, or loss of profits, data, or goodwill, arising from your use of the Service. Where our liability cannot be excluded but can be limited, our total liability to you is limited, at our option, to re-supplying the relevant part of the Service or refunding the amount you paid us for cosmetic items in the 12 months before the claim.
13.Changes to the Service and these Terms
We may update the Service and these Terms from time to time. If we make a material change to these Terms, we will update the date above and, where reasonable, give notice through the Service or by email. Continuing to use the Service after a change takes effect means you accept the updated Terms.
14.Governing law
These Terms are governed by the laws of Australia and the State of New South Wales, and the courts of that State (and the courts able to hear appeals from them) have non-exclusive jurisdiction. This does not deprive you of the protection of mandatory consumer laws of your place of residence.
